End User License Agreement
The terms for using the Promesa internal tools.
This agreement covers the software Promesa Investment Properties runs for its own staff: the staff portal at promesa-properties.com and the software that connects it to outside services, including the connection to QuickBooks Online through Intuit's developer platform. It is an internal tool; the public pages of this website are not covered by it and need no agreement to read.
Who this is between
This agreement is between Promesa Real Co LP, doing business as Promesa Investment Properties ("Promesa", "we", "us"), the owner and operator of the software, and the person using it ("you"). The software is provided only to Promesa's own staff, contractors and other people Promesa has authorized. Licensed real estate activity is conducted by Ryan McMillan, Oregon real estate license 201262100, brokered by eXp Realty. What the software is
The Promesa internal tools are the signed-in staff area of this website and the services behind it: the client onboarding worksheet, the client and property records, the offering memorandum, the analytics and security logs, and the connections that read from or write to outside services on Promesa's behalf. One of those connections uses Intuit's developer platform to reach Promesa's own QuickBooks Online company, so that Promesa's bookkeeping and owner reporting can be read alongside the records kept here.
Your license
Promesa grants you a limited, non-exclusive, non-transferable, revocable license to use the software for Promesa's business, in the course of your work for Promesa, for as long as you are authorized to use it. The software, its design and its code remain Promesa's property. You may not copy, sell, sublicense or redistribute the software, use it for any business other than Promesa's, or use it to access data you have not been authorized to see.
Accounts and access
Access is by a Promesa Google account. Your sign-in is yours alone: do not share it, and tell Promesa at once if you believe it has been used by someone else. Promesa may change what you can see and do in the software, and may end your access, at any time and without notice, including when your work for Promesa ends.
Connected services
Where the software connects to an outside service, that service's own terms also apply to the data it holds. The QuickBooks Online connection is made through Intuit's developer platform under Intuit's terms and is authorized by Promesa for Promesa's own company file; the software reads and writes only what Promesa's bookkeeping and reporting need, and Promesa can disconnect it at any time from within QuickBooks Online or Intuit's app settings. Other connected services are named in the Privacy Notice.
Information
What the software collects, how it is used, how long it is kept and who can see it is set out in the Privacy Notice, which is part of this agreement. Information about Promesa's clients, properties and finances that you see in the software is confidential to Promesa and, where it concerns a client, subject to the brokerage's own obligations. Use it only for the work it was collected for.
MLS listing data
Listing information and photographs from the Oregon Data Share MLS, whether seen on the Explore MLS Listings pages or obtained through the MLS's data feed, are licensed to eXp Realty for display to consumers under the MLS's IDX rules, and for nothing else. Do not copy them into the worksheet, a client file, a memorandum, an export, the CRM or any other document. Do not post, email or otherwise advertise another brokerage's listing without that brokerage's written consent. Do not paste them into, upload them to or have them read by any AI tool or other outside service. Do not share them, or the feed's access token or anyone's MLS sign-in, with anyone. Our Take and anything else Promesa adds beside a listing must be labelled as Promesa's, must not state a value, a fair price or a recommended price for the property, must not promise income or returns, and must say nothing about who lives, or should live, in an area. Report a suspected misuse of MLS data or of the feed's credentials to Ryan McMillan at once: the MLS can audit how its data is used here, and a disclosure of its data or credentials carries penalties for the brokerage.
Acceptable use
Use the software lawfully and as it is meant to be used. Do not try to get around its sign-in or permissions, probe or overload it, introduce malicious code, or use it to send anything to a client or the public that a person at Promesa has not read and approved first.
No warranty, and limits on liability
The software is provided as it is, for internal use, without warranties of any kind. Promesa does not promise that it will be available at all times or free of errors. To the extent the law allows, Promesa is not liable to you for any indirect, incidental or consequential loss arising from your use of the software. Nothing here limits any liability that cannot be limited by law.
Changes and ending
Promesa may change this agreement; when it does, the date at the top will change and continued use of the software after that date is acceptance of the new terms. This agreement ends when your authorization to use the software ends. The sections on information, confidentiality and liability survive its end.
Governing law
This agreement is governed by the laws of the State of Oregon, without regard to its conflict-of-law rules, and any dispute under it belongs in the state or federal courts serving Jackson County, Oregon.
