The terms for using this website.
Reading promesa-properties.com, sending us a form, or using a document we prepared for you is governed by these terms. They are short because the site is simple: it describes what Promesa does, shows properties, and lets you get in touch.
Who we are, and agreement
This website is operated by Promesa Real Co LP, doing business as Promesa Investment Properties ("Promesa", "we", "us"). Licensed real estate activity is conducted by Ryan McMillan, Oregon real estate license 201262100, brokered by eXp Realty. By using the site you agree to these terms, to the Disclosures and to the Privacy Notice, each of which is part of these terms. If you do not agree, do not use the site. The Promesa internal tools used by staff are governed by the End User License Agreement instead.
What the site is for
The site provides general information about Promesa, its approach to underwriting, and properties that are or may be for sale, and it lets you ask for a call or send us a property. It is offered to adults in the United States; property listings are for Oregon real estate and are subject to Oregon law. Nothing on the site is directed at anyone in a jurisdiction where it would be unlawful.
No professional advice, no offer
The content of the site and every proforma, worksheet, memorandum, listing card, chart or note we prepare is information and illustration, not investment, financial, tax, accounting or legal advice, and not a recommendation to you. Nothing on the site is an offer to sell or a solicitation to buy a security, an appraisal, a loan quote or an offer of credit. The Disclosures say this in full and are part of these terms. You are responsible for your own decisions and for consulting your own advisors before making them.
Accuracy and changes
We try to keep the site accurate and current, but property information, figures, prices, availability and terms come from sellers, public records and our own underwriting, may contain errors, and may change or be withdrawn at any time without notice. We may change, suspend or discontinue any part of the site at any time.
Listings from the MLS, and Our Take
Listings from the Oregon Data Share multiple listing service shown on this site are provided through the MLS's Internet Data Exchange (IDX) program, with the permission of the listing brokerages, exclusively for your personal, non-commercial use to identify properties you may be interested in purchasing, and for no other purpose. You may not copy, scrape, download in bulk, republish, redistribute or sell MLS listing information or photographs, or use them to build or supply any other database, website, app or service. The MLS listing information is the copyrighted compilation of Oregon Data Share, LLC, and listing photographs belong to their owners. The information is deemed reliable but is not guaranteed accurate by the MLS; confirm it with the listing brokerage. Our Take, the estimate Promesa shows beside some listings, is described in the Disclosures: it is not an appraisal, not an opinion of value and not a promise of income or returns.
Your use of the site
You may read the site, print or save pages for your own personal, non-commercial reference, and share links to it. You may not copy, scrape, republish, sell or otherwise exploit the site's content, data or images; use automated means to collect information from it beyond what a search engine does; interfere with its operation or security; try to reach areas of it you are not authorized to use; misrepresent who you are in a form; or use it for any unlawful purpose or to harass anyone. We may block access by anyone who breaks these rules.
Forms and communications
What you send through a form must be accurate and yours to send. By giving us an email address or phone number you agree that we may use it to respond to your request and, as the Privacy Notice describes, to send you updates you can opt out of at any time. We do not send marketing texts or make marketing calls without your prior express consent. Email and forms are not a secure way to send financial account numbers, government identifiers or other sensitive information; do not send them unless we have arranged a secure channel. Sending a form does not create a client, agency or fiduciary relationship; that requires a written agreement.
Documents we prepare for you
A proforma, worksheet, memorandum or other document we prepare and share with you is provided for your own evaluation of the property it concerns. It stays our work product: you may keep it, share it with your own advisors and lender, and rely on it only after verifying it as the Disclosures describe. Please do not republish it or pass it to others as a listing or a projection.
Intellectual property
The site, its text, design, code, charts, documents and the Promesa name and marks belong to Promesa Real Co LP or its licensors and are protected by copyright and trademark law. Photographs of properties are used with the owners' permission or under license, and MLS listing photographs are shown under the MLS's IDX license and belong to their owners; some illustrative photographs are used courtesy of Unsplash. Nothing in these terms gives you any right to our marks or content except the personal use described above. If you believe content on the site infringes your copyright, write to the address below with the work, the location on the site, your contact details and a statement of good-faith belief, and we will respond promptly.
Third-party sites and services
The site links to other websites and uses services from other companies, including public record systems, mapping and listing sites, and the providers named in the Privacy Notice. We do not control them, are not responsible for their content or practices, and a link is not an endorsement. Their own terms apply when you use them.
Accessibility
We aim for the site to be usable by everyone and describe how in our Accessibility Statement. If any part of the site or a document we provide is hard for you to use, tell us and we will provide the information another way.
Disclaimer of warranties
The site and everything on it are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation, to the fullest extent the law allows. Some jurisdictions do not allow the exclusion of certain warranties, in which case the exclusion applies to the extent permitted.
Limitation of liability
To the fullest extent the law allows, Promesa Real Co LP, its partners, staff, contractors and licensors, and Ryan McMillan and eXp Realty in connection with this site, are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or opportunity, arising from your use of or reliance on the site, its content or any document obtained through it, whether in contract, tort or otherwise, even if advised of the possibility. Our total liability for any claim arising from the site is limited to one hundred dollars ($100). Nothing in these terms limits liability that cannot be limited by law, and nothing limits the duties Oregon law imposes on a licensed real estate broker in a transaction you have engaged the broker for under a written agreement.
Indemnity
You agree to indemnify and hold harmless Promesa Real Co LP and the people named above from claims, losses and expenses, including reasonable attorney fees, arising from your breach of these terms or your misuse of the site or of a document obtained through it.
Electronic communications
When you use the site or email us, you agree to receive communications from us electronically, and you agree that notices, disclosures and agreements we provide electronically satisfy any requirement that they be in writing. The Disclosures describe electronic signatures and how to ask for paper.
Governing law and disputes
These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-law rules, and any dispute arising from the site or these terms belongs in the state or federal courts serving Jackson County, Oregon, whose jurisdiction you accept. A transaction you enter into with the broker is governed by its own written agreement.
Changes, severability and the whole agreement
We may change these terms; when we do, the date at the top will change and continued use of the site after that date is acceptance of the new terms. If any part of these terms is found unenforceable, the rest remains in effect. These terms, with the Disclosures and the Privacy Notice, are the whole agreement about your use of the site; a written agency or purchase agreement governs any transaction.
